The contractor agreement should detail the exact nature of what the contractor's services will be, how the payments will be made, by who and how will the services be reviewed what and how expenses will be reimbursed and how payments are to be made. Below is a worksheet that outlines the information you should have handy before you draw up a contractor agreement. A sample contractor agreement also follows.

Sample Contractor Agreement

This Agreement is made by [YOUR NAME] , ("Customer"), at [YOUR ADDRESS] , [YOUR CSZ] and [CONTRACTOR NAME] , ("Contractor"), a Corporation, at [CONTRACTOR ADDRESS] , [CONTRACTOR CSZ] .

WHEREAS, Contractor is in the [CONTRACTOR AREA OF BUSINESS] and Customer wishes to utilize the services of Contractor.

1. Contractor will [DESCRIPTION OF JOB]

2. Customer will pay Contractor $[HOURLY AMOUNT] per hour. Contractor will be paid [PAYMENT TERMS] .

3. Contractor will obtain all licenses, permits and certifications, at Contractor's expense, needed for the completion of the work under this agreement.

4. Contractor will use his own tools and employees to complete the work under this agreement.

5. Contractor will pay workers compensation, unemployment insurance, social security, disability insurance and any and all other taxes for his employees.

6. This agreement does not constitute an employment agreement. Contractor is an independent contractor and not an employee, agent, partner or joint venturer of Customer.

7. The work done under this agreement shall conform to the written plans and specifications attached to this Agreement. If additional work becomes necessary, Contractor will get written approval from Customer before beginning such work and inform Customer in writing of additional cost of that work.

8. Contractor will use its best efforts to perform the work under this agreement in a timely manner. Contractor will complete the work no later than [COMPLETION DATE] . If contractor fails to complete the work by that date due to weather, fire or any cause outside Contractor's control, the completion date will be delayed.
